cPanel and MS exchange server

Hi, I believe my question are old but i need to some one help me. My company is using cPanel for web hosting and email. Currently we using its local email exchange for receiving and sending email, now we are planing setup an external MS exchange server to receive email too. [LIST]

First phrase: We are still using our local web mail to receiving and sending email. External MS Exchange is the email backup for receiving email.

Second phrase: External MS Exchange will send and receive email. Local web mail will be backup server So my question is how to setup at cPanel? Our MS Exchange is located from static IP from ISP provider.
